This agreement is between Capability Systems Ltd, a company registered in England and Wales (company number 03060219), 128 City Road, London EC1V 2NX ("we", "us"), and the organisation that installs Schedrix™ Production Sequencing (the app) in its Microsoft Dynamics 365 Business Central tenant ("you"). By installing or using the app, you accept this agreement on behalf of your organisation.
1. The app and the service
The app proposes the order in which to run production orders on your lines. It works with the Schedrix service, which we run, so it needs an internet connection and a tenant key. The app is offered as a free preview: we may change it, and we may end the preview by giving you 30 days' notice.
2. Your licence
We grant you a non-exclusive, non-transferable right to install and use the app in your Business Central tenants for your own internal business purposes, for as long as this agreement lasts. You may not resell the app, copy it outside Business Central, reverse-engineer it except as the law allows, or use the service in a way that harms it or other customers.
3. Fees
The app and the service are free during the preview. We will not charge you without your agreement. When we offer paid plans, each Business Central tenant will start with a 60-day free trial, we will tell you in advance, and paying is your choice.
4. Business Central is licensed separately
Microsoft Dynamics 365 Business Central is licensed to you separately, under Microsoft's own software licence terms, which you accept before you use it. This agreement doesn't change those terms.
5. Who is responsible for the app
Capability Systems, not Microsoft, is responsible for the app and for its effect on Business Central. Microsoft doesn't provide support for the app.
6. Copies and support materials
You don't receive copies of the app outside Business Central, or the materials needed to support it yourself. We support the app as described on the support page. Microsoft Corporation is a third-party beneficiary of this clause 6 and may enforce it.
7. The sequence is advice: you decide
Schedrix advises and your planners decide. Schedrix doesn't move production orders until a user chooses Apply, and Revert can put applied operations back where they were. Downtime is recorded on your calendars only when a user chooses Record Downtime.
You remain responsible for your production plan and for food safety. That includes checking that your changeover rules and allergen cleans are right before you confirm them, and checking a proposed sequence before you apply it. Schedrix doesn't replace your HACCP plan or your own checks.
When an AI model reads a rule or a disruption report written in plain English, the result can be wrong. Schedrix shows you how it read the text, and nothing is used until you confirm or record it.
8. Your data
Your data stays yours. We process it only to provide the service, as our privacy policy describes.
9. Warranty
During the preview the app and the service are provided as they are, without any warranty, to the extent the law allows. We don't promise that the service will be available at all times, or that a sequence will be the best one possible or free of errors.
10. Liability
Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
Otherwise, we aren't liable for loss of profit, revenue, production or data, or for any indirect or consequential loss, and our total liability under this agreement is limited to £100.
11. Ending the agreement
You can end this agreement at any time by uninstalling the app. We can end it by giving you 30 days' notice, or at once if you break clause 2. When it ends, the service deletes sequence data as the privacy policy describes, and we delete your tenant key record when you ask us to.
12. Changes
We may update this agreement. If a change matters to you, we will tell you in the app's release notes at least 30 days before it applies.
13. Law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
14. Third-party components
The app's charts use the Syncfusion Gantt Chart control, © Syncfusion, Inc., which we use under the Syncfusion Community License. Syncfusion is not a party to this agreement, gives no warranty for the app and does not support it; any questions about the app come to us.
